ASNE-APME merger agreement and plan

Attention, ASNE members!
As we mentioned last week, the ASNE Board of Directors voted unanimously on a proposed plan to merge ASNE and APME into a new news leadership organization committed to defending and speaking on behalf of journalism.
As we mentioned last week, the ASNE Board of Directors voted unanimously on a proposed plan to merge ASNE and APME into a new news leadership organization committed to defending and speaking on behalf of journalism.
The next step in this process is approval by the requisite number of ASNE members at our annual business meeting that will be held at the ASNE-APME conference.
Specifically, the annual business meeting at which this vote will be held is at 10:15 a.m. CDT Tuesday, Sept. 11, in room Salon C at the AT&T Executive Education and Conference Center. Approval of the merger must occur at the meeting, and there must be a quorum of at least 50 regular and retired (but former regular) members of ASNE present. Approval by 2/3 of those present and voting is required. So please mark your calendar to attend the meeting on Tuesdaymorning as your presence is crucial to getting this merger done.
You will specifically be voting to approve an "Agreement and Plan of Merger," the official agreement between ASNE and APME to merge into a new organization. The "Agreement and Plan of Merger" incorporates several documents that explain the terms of the proposed merger. Please read all of the documents and especially focus on the Bylaws of the new organization and the Term Sheet.
Here's a summary of the key points of the proposed merger agreement:
- The new organization is expected to be fully operational by the fall of 2019. Michael Days, currently secretary of the APME board, will become the first president of the new organization. George Stanley, who is currently secretary of ASNE, will become the vice president.
- Both ASNE and APME will continue to exist in 2018-19, working together closely on committee work and planning the 2019 convention.
- In addition to the officers, ASNE and APME will each select six (6) at-large board members for the new organization. Additionally, The Associated Press will nominate one at-large board member, and ASNE will nominate a former member of the Association of Opinion Journalists as an at-large member. (AOJ merged into ASNE in 2016-17.)
